TERMS AND CONDITIONS FLEB INDUSTRIAL PRODUCTS S.A.

Fleb is a leading importer and distributor of bolts, nuts, screws, and miscellaneous items, with 48 years of experience offering quality products.

I. INTRODUCTION

- These terms and conditions establish the conditions governing the purchase of products from 'FLEB INDUSTRIAL PRODUCTS' (hereinafter, 'Fleb' or 'The Company').

- We ask the Customer to carefully read these Terms and Conditions before entering into a contract with Fleb.

- Placing an order with The Company implies full acceptance by the Customer, and is thus bound by these Terms and Conditions.

- If you do not agree with these Conditions, you should not enter into a contract with Fleb.

II. INTERPRETATION. DEFINITIONS.

- For all purposes, the Parties understand that the terms and conditions incorporated herein shall be executed in accordance with the terms, meaning, and scope set forth below. In this regard, these terms shall be interpreted primarily exegetically and, secondarily, systematically, and no other system or form of interpretation shall be used.

- Any reference to the terms described in this document shall be construed in accordance with the scope defined below:

- Company: FLEB PRODUCTOS INDUSTRIALES;

- Customer: Any person or entity that purchases a Product;

- Parties: Plural term referring to FLEB and the Customer interchangeably and collectively.

- In the event that the terms set forth, as well as any word, phrase, clause, or sentence, are eventually interpreted as unlawful or unenforceable for any reason, said word, phrase, clause, or sentence shall be modified or deleted to give it the meaning consistent with said provision or subsequent resolution. However, even in such a case, the remaining provisions set forth herein shall not be affected thereby, remaining fully valid for the intended purposes and effects.

III. ACCEPTANCE OF TERMS AND CONDITIONS.

- These terms and conditions govern the relationship between Fleb and its Clients.

- The Client's contracting with the Company shall be construed, for all purposes hereof and without limitation, as full knowledge and acceptance of the terms and conditions detailed herein. The Client may not, in the future, claim lack of knowledge of the stipulations that have been made fully available to the Interacting Parties. Therefore, a careful reading of these provisions is recommended.

- Any party that does not accept the terms and conditions herein, which are obligatory and binding, must refrain from contracting with Fleb.

- The Company, at its sole discretion and without prior notice, may modify its Terms and Conditions, its usage policy, and its services and product policies, in whole or in part, without being legally obligated to notify Customers. Such updates, revisions, supplements, modifications, and additional rules, policies, terms, and conditions will become effective immediately upon posting on this site.

- Notwithstanding the provisions set forth in this section, the specific terms and conditions of sale for each Customer and their respective modifications will be notified via the email addresses provided by the Customers and/or through the usual means of communication between the Parties.

IV. DESCRIPTION AND IMAGE OF THE MERCHANDISE ON THE WEBSITE.

- Fleb attempts to be as accurate as possible in the descriptions of the products it displays on the website. However, it is possible that the product descriptions or other content on this site may not be accurate or may contain errors.

- When the Customer, having received the product, wishes to cancel it, citing inaccuracies in the product description or images, they must return the unused product in perfect condition, along with all its original packaging and all accessories.

- The information regarding product characteristics accessed through the Website is obtained from statements made by the manufacturer of each product. Fleb requests that the Customer be aware that manufacturers may occasionally alter their packaging and labels, so that the actual product packaging and accompanying materials may contain different information than that shown on our website.

- If additional information about a product is required, we ask that Customers contact the Company through the Primary Contacts established in Clause XIV.

V. ORDERS AND SALES.

- Orders will be considered valid once they have been received by the Company correctly and through the appropriate channels (email, vendors, etc.)

- The Company does not guarantee the availability of the Products, their reservation, or the delivery date in the event of a shortage.
All orders are subject to the availability of the requested products.

- Although it is the Company's policy not to invoice products that are not in stock, in the hypothetical and unlikely event that this occurs, the Company will issue a credit note equivalent to the value of the unavailable product.
This amount will be credited to the customer's checking account as a credit balance.

- The Company reserves the right to cancel or modify any order.

- The Company may request advance payment if the customer's financial situation warrants it.

- For new customers, advance payment for the first three purchases is an essential requirement before beginning to operate with a Checking Account.

- The Company reserves the right not to deliver an order if the Customer is in arrears with their payments, in accordance with the specific conditions previously agreed upon with FLEB. In such case, delivery will be suspended until the Customer regularizes their payment status.

- The Company also establishes that if the Customer exceeds the maximum payment deadlines, they will automatically incur default and must pay compensatory and punitive interest.

VI. PRICES AND PAYMENT METHODS.

- All prices are expressed in Argentine Pesos.

- The Company reserves the right to change prices without prior notice. In the latter case, and with respect to orders already placed, the price in effect at the time of purchase will be honored.

- Orders must be paid within the following timeframes: to qualify for the early payment discount, payment must be made within 3 days of receipt and inspection of the merchandise. If prompt payment is not chosen, the amounts must be delivered within 10 days of receipt and inspection of the merchandise. If payment is made by check or electronic check, the maximum payment period is 30 days from the invoice date.

- Available payment methods are: cash, bank transfer, physical check, electronic check, and bank deposit.

- The Company guarantees that the Customer will receive the official receipt via email as quickly as possible.

- The Customer is responsible for paying any applicable taxes or fees in accordance with current regulations.

VII. SHIPPING AND DELIVERY.

- Orders are shipped to the address provided during the purchase process. The Customer is responsible for providing an accurate delivery address and clear delivery times.

- The Company will endeavor to deliver the Products within the estimated timeframe. Delivery times may vary depending on the location and shipping method selected.

- The Company guarantees zero delivery costs for AMBA (up to the 3 Cordón del Conurbano) as part of its customer service.

- If the delivery address is outside the established geographic area, the cost of transportation will be borne by the Customer.

- The Company is not responsible for delays or losses caused by third parties, acts of God, or force majeure.

- The signature of the delivery note and/or the proof of payment constitutes a declaration of conformity with the delivered merchandise, without prejudice to any rights that may apply should the merchandise prove to be defective for any reason.

IIX. RETURNS.

- The Customer may return a Product within 48 hours of receiving the order and within 30 days of delivery. They must also provide the reason for the return, invoice number, shipping address, date of the return, product, and quantity to be returned (via email to info@fleb.com.ar

- The Company does not issue refunds.

- When applicable, and provided the regulations described above are met, the Company will issue a credit note in favor of the Customer for the value of the Product. As an essential condition for the credit to proceed, the Customer must send the corresponding return note issued by the Company.

- The Products must be in good condition, with original packaging and labels.

- The Company will not accept any type of return without any of the aforementioned supporting documents.

- Shipping costs for the product are the Customer's responsibility, without exception.

IX. WARRANTY AND LIABILITY

- The Company guarantees that the Products comply with international standards and function properly.

- The Company is not responsible for damage or loss caused by misuse of the Products.

- The Company is not responsible for damage or loss caused by third parties.

- The Company is not responsible for damage or loss caused by negligence or non-compliance with these Terms and Conditions.

X. INTELLECTUAL PROPERTY.

- The Company owns all intellectual property rights related to the Products, images, communications, etc. (videos, social media posts, etc.)

XI. APPLICABLE LAW AND JURISDICTION.

- Any divergence, dispute, or controversy arising between the Parties arising from this document shall be governed by applicable Argentine law and submitted to the ordinary courts located in the Autonomous City of Buenos Aires. Both Parties expressly waive any other jurisdiction or venue that may apply.

XII. LEGAL COMMUNICATIONS AND NOTIFICATIONS.

- The Company declares that email will be the only valid channel for legal communication.

XIII. PRIVACY

- Within the framework of our privacy policy, we are committed to maintaining absolute confidentiality of all data that the Client shares with the Company.

- The Company will not share the Client's personal information with third parties without their prior consent.
